Anritsu Company Announces Sale of its Remote Special Services Test Product Lines

6/20/2002 - Anritsu Company US, a leading supplier of communications test and measurement solutions, announced that it will sell its remote special services test product lines to Spirent plc for a cash consideration of approximately $26 million. The transaction is expected to be completed in the next month after certain closing conditions are met. Following completion of the transaction, the remote special services test product lines will be integrated into the Service Assurance division of Spirent's Communications group, a wholly owned business group of Spirent plc.

Spirent will be acquiring the assets, product lines, intellectual property and many of the employees of the business unit which manages these product lines. The remote special services test product lines include systems to access, test and monitor performance of special service networks for leading telecommunications service providers around the world. Products included in the acquisition are remote test and access units for VF, DDS and HiCap (DS1 and DS3) services. This profitable business unit had sales of approximately $21 million for the year ended March 31, 2002.

"Anritsu has been sharpening the focus of its operations around the world for several years," said Mark Evans, President of Anritsu Company. "Mobile communications and communications applications driven by the Internet have become the primary markets which Anritsu is pursuing. The remote special services test business is no longer a core part of the Anritsu strategy."

"Concentrating on mobile and internet technologies helps Anritsu apply original innovations to optical, ultra-high speed, RF measurement, IP and signaling protocol analysis solutions," said Akira Shiomi, President of Anritsu Corporation, the parent company. "The company's ultimate aim is to provide optimal future-ready solutions for customers' network related needs. The sale of these product lines will further focus our efforts as well as provide some added funds for other investments."
